Abstract
La presente investigación analiza la cláusula penal como un medio de garantía en los contratos civiles en El Salvador, examinando su regulación en el Código Civil, su desarrollo doctrinario y su aplicación dentro del Derecho de obligaciones. La cláusula penal constituye una convención accesoria mediante la cual las partes establecen anticipadamente una sanción económica para el caso de incumplimiento o cumplimiento tardío de una obligación contractual , con la finalidad de asegurar el cumplimiento de lo pactado. El estudio aborda la naturaleza jurídica de esta figura, sus características y los elementos que la conforman dentro del régimen general de las obligaciones. Asimismo, se analizan los limites legales que regulan su aplicación, especialmente aquellos relacionados con el principio de proporcionalidad, la equidad contractual y la facultad de moderación judicial. Estos aspectos permiten evaluar la forma en que la cláusula penal pueda garantizar el equilibrio entre las partes y evitar abusos en su utilización. De igual forma, la investigación compara la cláusula penal con otras figuras de garantía contractual, tales como la fianza, la prenda y la hipoteca, con el propósito de identificar sus diferencias, ventajas y alcances dentro del sistema jurídico salvadoreño. Finalmente, se concluye que la cláusula penal constituye un mecanismo eficaz para reforzar la seguridad jurídica y promover el cumplimiento de las obligaciones contractuales.
This research analyzes the penalty clause as a guarantee mechanism in civil contratcs in El Salvador, examining its regulation in the civil code, its doctrinal development, and its role within the law of obligations The penalty clause is considered an accesory agreement through which the parties establish in advance a monetary sanction in case of breach or delayed perfomance of a contractual obligation, with the purpose of ensuring compliance with the agreement. The study explores the legal nature of this institution, its characteristics, and the essential elements that define it within the general framework of civil obligations. Additionally, it examines the legal limitations governing its aplication, particularly those related to the principles of proportionality, contractual fairness, and judicial moderation. These aspects help assess how the penalty clause contributes to maintaining balance between the contracting parties and preventing potential abuses.Furthermore, the research compares the penalty clause with other contractual guarantee mechanisms such as surety, pledge and mortgage, in order to identify their structural differences, practical advantages. and legal scope within the salvadoran legal system. The study concludes that the penalty clause represents an effective legal tool for strengthening legal certainty and promoting compliance with contractual obligations.
